Whereas, for reasons of economy the University is desirous of contracting with the Water Company for the furnishing of the entire water supply of the University, and the Water Company is willing to furnish such water supply upon the terms and conditions hereinafter set forth; Now, Therefore, in consideration of the mutual covenants and agreements herein contained, the parties hereto have agreed, and do hereby agree, as follows: 1. Subject to the remaining terms and provisions of this agreement, the Water Company agrees to sell and deliver to the University at the point of delivery hereinafter specified, and the University agrees to purchase and take at said delivery point, all water required by the University for use on the campus and in all buildings or other structures owned or operated by the University in and about the Cities of Champaign and Urbana, Illinois, and which may now or hereafter be connected to the distribution system maintained by the University. It is understood, however, that the Water Company is now in process of drilling additional wells to augment its supply and expects to install additional water treatment facilities and will not be able to furnish the entire requirements of the University until approximately two (2) years after the execution and delivery of this agreement. Accordingly, it is agreed that the Water Company shall proceed as speedily as possible to do all work necessary to enable the Water Company to furnish the entire requirements of the University and in the meantime the University may take and the Water Company shall, to the extent that it is able to do so, deliver such amounts of water as may be needed by the University to supplement its own water production. Such supplementary water shall be taken through existing connections and, insofar as possible, at night. In any case, the Water Company shall begin furnishing the entire requirements of the University not later than two (2) years after the date of this agreement. 2. The University agrees to pay to the Water Company for all water furnished to the University according to the applicable rates from time to time on file with the Illinois Commerce Commission or such other regulatory body as may from time to time have jurisdiction over such water rates. The Water Company shall render bills for such water service to the University on a monthly basis and the amount of each bill shall be payable on or before the 25th day after the rendering of the bill, and, if paid thereafter, the applicable penalty or discount contained in any rate schedule then in force will be added or withdrawn. The Illinois Commerce Commission has heretofore directed that the W a t e r Company shall, in its present rate schedule give recognition, in the form of lower rates, to consumers using in excess of 300,000 cubic feet of water per quarter and the Water Company has, in compliance with such direction, filed a rate schedule with said Illinois Commerce Commission providing for such a lower rate to such consumers. The W a t e r Company agrees that it will, in any rate schedule hereafter filed, recommend similar recognition and consideration to the University and other consumers using extraordinarily large quantities of water. It is understood that any rate schedule which shall hereafter be filed must necessarily be approved by the Illinois Commerce Commission or any other regulatory body having jurisdiction over water rates. 3. The point of delivery of the water to be furnished hereunder shall be at a service valve to be furnished by the Water Company and to be located north of the south property line of Springfield Avenue, between Romine and Matthews Streets, in Urbana, Illinois, and after installation of such service valve all such water shall be furnished through a Venturi meter (hereinafter sometimes called the "Master Meter") to be furnished and paid for by the University. Pending the installation of said service valve and meter, water shall be furnished hereunder through the presently available connections and meters. It is understood that there is now being maintained a connection at a point south of the Auditorium on Armory Avenue extended where water is now being furnished to the University and that after the installation of said service valve, the said connection and the meter located at said connection shall continue to be owned and shall be maintained by the University, but that said connection shall not be used for the purpose of furnishing water to the University after the Water Company has notified the University that it will furnish all of the University's requirements, except in case of emergency and then only upon notice to the Water Company by the University
