M Y DEAR PRESIDENT JAMES:

Under date of May 28, 1918, I transmitted to you a statement concerning the investigation on the coking of coal, conducted by the Engineering Experiment Station in cooperation with Mr. A. T. Hert of Louisville, Kentucky, together with a copy of a letter from Mr. E. V. Fulks, Vice-President of the American Tar Products Company, Mr. Hert's representative, and a proposed contract between the Board of Trustees of the University of Illinois and Mr. A. T. Hert for a license to use any patent or patents which may be granted to Professor S. W. Parr and Dr. T. E. Layng covering the coking process discovered by them during this investigation. After a careful consideration of the proposed Articles of Agreement, Mr. Fulks found some objections to a number of the provisions incorporated in the original draft submitted to him and to the Board of Trustees. After some discussion of the questions at issue, and in cooperation with Judge O. A. Harker, Legal Counsel of the University, a new contract was prepared and submitted to Mr. Fulks for his approval. In a letter dated September 4, Mr. Fulks informed me that the final Articles of Agreement thus prepared were acceptable to Mr. Hert and his associates. I am sending you herewith a copy of this new contract. In the new Articles of Agreement you will note that Professor S. W. Parr and Dr. T. E. Layng are made parties of the third part, and that there are minor changes in Sections A, B, and D of Article 4. While it is not yet certain that a patent on this coking process can be obtained, I do not anticipate that there will be any difficulties in this connection, and I suggest, therefore, that the new Articles of Agreement be laid before the members of the Board of Trustees for their approval, and that authority be secured from the Board to enter into this contract, in the event that a patent or patents are ultimately secured. ARTICLES OF AGREEMENT, entered into between the Board of Trustees of the University of Illinois, a corporation operating under the laws of Illinois, party of the first part, A. T. Hert of the American Creosoting Company, of Louisville, Kentucky, party of the second part, and S. W. Parr and T. E. Layng, of Urbana, Illinois, parties of the third part, witnesseth: 1.
