BOARD OF TRUSTEES

[September 29

WITNESSETH: Whereas, Medical Center Steam Company (hereinafter called the Steam Company), has been incorporated under the laws of the State of Illinois and is authorized by its charter to furnish steam service to the University and through the University to other institutions within the Medical Center District in the City of Chicago, Illinois, and Whereas, the University and the Steam Company have entered into a contract dated July i, 1949, for the construction, operation, and maintenance by the Steam Company of a steam plant and distribution system in the Medical Center District, a copy of which contract is hereto attached, and Whereas, the Illinois Commerce Commission on July 29, 1949, entered an order in case No. 37530, granting to the Steam Company a certificate of convenience and necessity for the construction, operation, and maintenance of such steam plant and distribution system as described in said order and said contract, and Whereas, the Medical Center Commission was created and exists under and by virtue of an act of the General Assembly of the State of Illinois, and under the provisions of said act has certain rights, powers, privileges, and obligations with respect to said Medical Center District, and it is desired that all qualified applicants for steam service within said District be furnished with steam service under and pursuant to the provisions of said contract; Now, Therefore, the parties do hereby agree as follows: Upon certification by the Medical Center Commission to the University at any time, or from time to time, that a governmental agency, charitable institution or other institution located within the Medical Center District, is in the judgment of the Medical Center Commission a qualified applicant for steam service, the University agrees to cause such service to be furnished to such applicant subject to the provisions of the said contract and the availability of an adequate steam supply for such applicant within the firm capacity of the plant upon compliance by such applicant with the following terms and conditions: ( a ) That such applicant shall enter into an agreement with the University to take steam service and to compensate the University for such service. ( b ) That the charges for such service shall be fixed by the University on a fair and equitable basis. ( c ) In the event that any applicant and the University are unable to agree upon a fair and equitable basis for such charges, then the fair and equitable basis for such charges shall be determined jointly by the University and the Medical Center Commission. ( d ) Should the University and the Medical Center Commission be unable to agree on a fair and equitable basis for such charges, in that event the then Governor of the State of Illinois or such person, persons or agency as he may designate shall determine what the fair and equitable charges for such services shall be, and such determination shall be binding on the parties hereto. IK Witness Whereof, the University has caused this instrument to be executed in its corporate name by its Comptroller and its Secretary, and its corporate seal to be hereunto affixed by its Secretary, and the Medical Center Commission has caused this agreement to be executed in its corporate name by its President, and its corporate seal to be hereunto affixed and attested by its Secretary, all in duplicate as of the day and year first above written. CLINICAL FACULTY OF THE COLLEGE OF MEDICINE I recommend that appointments be made to the nonsalaried, or clinical, faculty of the College of Medicine for the academic year beginning September 1, 1949, as indicated, and that the President of the University be authorized to make such additional appointments and other changes as are desirable and necessary. Appointments are for one year from September 1, 1949, unless otherwise indicated. All appointments have been approved by Vice-President A. C. Ivy. A summary by departments of the number of appointments with the comparative figures for 1948-1949 is also submitted.
