It is my personal view that this contract, or one similar to it, if used in substance, would establish a relationship sound from the business and educational standpoint as far as t h e University is concerned. The terms of licensing agreements are another matter, and of course they have no place in this contract. T h e kind or type of licensing agreement which the University may be willing to execute in the event of its becoming the owner of a commercially profitable patent is a matter for consideration when the question arises and of course can not and should not be anticipated at this time. University Counsel ARTICLES OF AGREEMENT ARTICLES OF AGREEMENT between the Board of Trustees of the University of Illinois, Party of the First Part, hereinafter called the University, and the Porete Manufacturing Company, Porete Avenue, North Arlington, New Jersey, Party of the Second Part, hereinafter called the Company, for a cooperative investigation of Composite Steel and Concrete Construction by the University, through its Engineering Experiment Station, a division of the University, under the following terms and conditions. (1) This agreement is executed for the period of one year, beginning December 1, 1041, with the understanding that it may be extended for additional periods under the same terms or such other terms as may be mutually agreed upon. (2) T h e University, through the Engineering Experiment Station, will supervise and direct all experimental work and the computation and reduction of all results obtained, together with the placing of these data into form for presentation. (3) T h e University shall furnish the necessary room for this investigation, together with heat, light, power, and w a t e r ; permit the use of such laboratory apparatus as it may possess which is not in use for other purposes; and shall assume the cost of compensation for accidents, and make provision for sick leave, death benefits, retirement compensation when staff members who are employed in a permanent and continuous capacity are assigned to the investigation, and publication of results of the investigation. As partial reimbursement to the University, a general charge of twenty (20) per cent will be deducted from the payments made by the Company. All special apparatus for this investigation and not available in the engineering laboratories shall be purchased from, and charged against, the funds provided by the Company for this purpose. (4) An advisory Research Committee shall be appointed to advise with the officers of the Engineering Experiment Station concerning the research program and the conduct of the investigation, and to cooperate in the preparation of all reports. One or more members of this committee shall be appointed by the Company, and other members shall be appointed by the University. T h e conduct of the tests shall be under the full control of the University through the Engineering Experiment Station, which is necessarily responsible for the results secured. (5) All records of the investigation are to be the property of the University and the Company. T h e original records are to be kept on file by the University, but copies of all such records shall be furnished the second party or his duly authorized representative on request. T h e University shall have the exclusive right to publish the results of the Investigation when completed, in the form of a bulletin or bulletins, or otherwise. P r i o r to such publication, no publicity shall be given to any of the results of the investigation except on the recommendation or with the approval of the University and the Company, unless the scientific value of a discovery made during the course of the investigation be such that, in the judgment of the University, the public interest requires prompt release or publication thereof.
