portions thereof, shall be null and void and shall be deemed separable from the remaining covenants and agreements or portions thereof and shall in no way affect the validity of this Resolution or of the Bonds. SECTION 12.08. Headings and Index. Any headings preceding the texts of the several articles hereof and any table of contents appended to copies hereof shall be solely for convenience of reference and shall not constitute a part of this Resolution, nor shall they affect its meaning, construction or effect. SECTION 12.09. Covenants Not to Be Deemed Covenants of Any Present or Future Officer, Agent or Employee of University. All covenants, stipulations, obligations and agreements of the University contained in this Resolution shall be deemed to be covenants, stipulations, obligations and agreements of the University to the full extent authorized by law and permitted by the Constitution of the State of Illinois, and no covenants, stipulations, obligations or agreements contained herein shall be deemed to be a covenant, stipulation, obligation or agreement of any present or future officer, agent or employee of the University in his individual capacity, and no officer executing the Bonds shall be liable personally on the Bonds or be subject to any personal liability or accountability by reason of the issue thereof. No officer, agent or employee of the University shall incur any personal liability in acting or proceeding or in not acting or not proceeding in good faith, reasonably and in accordance with the terms of this Resolution and applicable law. Subsequent to the adoption of this Resolution, the President of the Board designated Mr. Timothy W. Swain, Chairman of the Finance Committee, and Mrs. Frances B. Watkins, a member of the Finance Committee, to sign "The Board of Trustees of the University of Illinois Housing Revenue Bonds of 1958, Series A and B," along with the President and the Secretary of the Board.
