day in May. who shall take office on the opening day of the ensuing University year. ' J v Section 2. Each undergraduate member shall be nominated on a petition signed by twenty-five under* graduate students and presented to the Chairman of the Board of Directors three weeks before the date of election. The name of all such candidates shall, on their approval by the Council of Administration, be published in. the Daily Jllini not less than two weeks before the date.set for the election. Section 3 A candidate must have University credit amounting to forty-five hours with an average grade of C. i Section 4. Vacancies in the membership shall be filled on nomination of the Board approved by the Council of Administration. Section 5. One of the faculty directors shall be designated by the Council of Administration as Chairman of the Board! »« • . (6) Duties of the Board df Directors Section 1. The Board of Directors shall conduct the business of the Company. „t Section 2. It shall appoint the Editors, Business Managers and other officers and employees hereinafter provided for, determine the method of selection and approve the appointment of such members of the publication staffs as may be hereinafter provided. It snail have supervisory rights in the management and policies of the several publications, including the relative space given to various'^classes of contents. It shall approve the scale of advertising and subscription rates, contracts for printing and distributing including contracts for all mechanical work done on publications outside the shops of the company, and all bills for equipment. It shall have power to remove from office any member of the staff who does not abide by its regulations. It shall own the copyright of any publications issued under its supervision and shall have the sole right to reissue or republish the contents of any part thereof of any such publication. Section 3. Four members of the Board shall constitute a quorum. In case of a tie, the question shall be referred to the Council of Administration of the University for decision. Section 4. The chairman shall have the I ight to rote on all questions. Section 5. The Hoard .shall meet once a month during the college year, at the call of the chairman, and at other times, at the call of the chairman or of any three members. Section 6. The Hoard of Directors shall adopt by Jaws for the government of the corporation and each publication. All such by-laws shall be subject to the
